Application for Resale/Transfer of HDB Commercial Properties

HDB commercial premises can now lodge/or apply for their resale/transfer depending on the nature of each request

Do I need to apply for this licence?

Yes, you need to obtain HDB’s written consent for the Resale/ Transfer of Commercial Properties if you owned a HDB shop and wish to dispose it in the open market or would like to transfer your share of property to another person(s).

Online application must be submitted by the transferors’ or transferees’ solicitor with the authorisation of the transferors and the transferees who shall ensure that all particulars given are true and correct and that the transferors and transferees jointly and severally agree to the Terms and Conditions for Resale/Transfer of an HDB shop.

Solicitors are to select the “Representative authorised to file on behalf of client/ organisation”. Please DO NOT select “Member of a Professional Firm”.

Lodgement Scheme for Resale/Transfer of HDB Commercial Premises

Under the lodgement scheme, shop lessees who wish to sell their shops only need to lodge or file their resale details via Online Business Licensing Service (www.business.gov.sg) at an admin fee is $105/-.

Under the scheme, the buyer/seller will have to check for any unauthorised works carried out in the premises themselves. For works done prior to 1 Oct 05, they can request for HDB's renovation records/ inspection report at a fee of $315. For works done after 1 Oct 05, they can appoint their own QP to verify that the works done meet BCA/FSSD's requirements.

The scheme is not applicable for (i) shops that have not been issued with leases and (ii) cases which involves a material change in the use requiring URA’s approval. For (i), there is a need for the lessees to sign a fresh Agreement for Lease with HDB. For (ii), we have to first assess whether the proposed use will cause any disamenities to the surrounding. Examples of such cases are family restaurants and those who want to change their living quarters to non-residential use.

What supporting documents do I need to submit?

1.      Photocopies of buyers' NRIC

2.      Letter from the transferors’ or transferees’ solicitor (who is submitting the on-line application) confirming he/she is acting on behalf of the transferors/ transferees as per Clause 6 of the Resale/Transfer Terms and Conditions

3.      Latest Business Registration Record from Accounting & Corporate Regulatory Authority (ACRA) (For Pte Ltd Co)

4.      Company's Resolution (For Pte Ltd Co)

5.      The transferors’ and the transferees’ Company Resolution/ Director’s Resolution authorizing the solicitor to submit the on-line application as per Clause 7(b) of the Resale/Transfer Terms and Conditions

6.      Letter of Authorization / Power of Attorney (For Mortgagee Sales)

7.      Grant of Probate / Grant of Letters of Administration (For Deceased Cases)

How soon can my application be processed?

For Lodgement Scheme for Resale/ Transfer, an acknowledgement letter will be issued immediately once the Resale/Transfer is lodged with HDB and fees received.

Applications that require further evaluation/ processing and are submitted electronically with all required supporting documents will be processed within 14 days working days.

What is the application process like?

Steps to apply for Resale/Transfer of HDB Commercial Properties

1.      Check valid HDB premises address & whether Lease has been issued.

2.      Read the terms & conditions for the application

3.      Key in the premises details, transferors/transferees’ particulars and the details of resale/transfer

4.      Indicate choice of request for inspection or waiver of inspection

5.      Submit requisite payment for the application

6.      Print the receipt and acknowledgement letter (for lodgment cases). For application cases, HDB will revert to applicant within 14 days.

7.      Upon completion to forward a copy of the Transfer Instrument to HDB for updating.

Other frequently asked questions

1.      Where do I get the 3rd Party Authorisation Form ?

The 3rd Party Authorisation Form is to be drafted by the filer. The required content for the form is summarised when the filer checks the declaration box in the application.

2.      When do I submit my Transfer Instrument ?

You are required to submit the duly executed and stamped Transfer Instrument to HDB for updating of our records after completion.

3.      Who is the applicant or filer ?

If you have selected "Representative authorised to file on behalf of client/organisation",the applicant is the existing lessees/transferors or proposed lessees/ transferees. For authorised representative who is the "filer" including the agent,solicitor,please select "Represenative authorised to file on behalf of client/ organisation". A Letter of Authorisation has to be submitted as a supporting document.

4.      If I have selected "Waiver of inspection" when I as the purchaser is taking over the sub-tenancy with the trade that involves material change of use, what fee do I pay?

The fee payable is $525/-. Approval for Resale/ Transfer will be granted after the assessment of whether the proposed use will
cause any disamenities to the surrounding (eg. Family Restaurant,living quarters change to non-residential use.

5.      Who Should apply? Transferors or Transferees?

Either one of the authorised representative who is the "filer" including the agent, solicitor acting for the Transferors or Transferees.

6.      Can a foreigner or Singapore PR apply?

Yes. They can purchase the HDB commercial shops provided the transferors/ transferees are above 21 years of age and is not an undischarged bankrupt.

RESALE HDB SHOPS

With effect from 5 Jul 06, if you are selling your shop in the Resale market, the new form will be available via www.business.gov.sg and the old form would no longer be in use or available.
